  1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by ZEK LTDA ("Zek", "we", "us"), including the Zek conversational payment platform accessible through WhatsApp, Telegram, iMessage, and the website at zekbanker.com.

By using Zek, you agree to these Terms. If you do not agree, do not use our services.

  1. Eligibility

To use Zek, you must:

  • Be at least 18 years old

  • Not be a resident of a prohibited jurisdiction (see Section 8)

  • Complete identity verification (KYC) before accessing any financial features

  • Provide accurate and truthful information during registration and verification

  1. Description of Services

Zek provides a conversational interface that allows you to send, receive, and manage cross-border payments through messaging apps. The platform integrates with licensed third-party infrastructure providers to facilitate fiat-to-stablecoin and stablecoin-to-fiat conversions.

Zek is a technology provider. Zek does not hold, custody, or transmit your funds. You maintain full control of your self-custodial wallet at all times.

  1. Self-Custodial Wallet

When you use Zek, a self-custodial wallet is created on your behalf. You are the sole owner and controller of this wallet. Zek does not have access to your private keys or the ability to move, freeze, or recover funds in your wallet.

You are solely responsible for:

  • Maintaining access to your wallet through your device and biometric credentials

  • Safeguarding your authentication methods

  • All transactions initiated from your wallet

If you lose access to your wallet, Zek cannot recover your funds. There is no password reset, no recovery process, and no way for Zek to intervene. This is a fundamental characteristic of self-custodial wallets.

  1. Third-Party Services

Zek integrates with licensed third-party providers to deliver its services. These include, but are not limited to, Bridge (by Stripe), Bitso, Juno, Avenia, Sumsub, and Infobip. Your use of these services is subject to their respective terms and conditions.

Zek is not responsible for the availability, performance, or actions of third-party providers. Fiat conversion rates, fees, processing times, and transaction limits are determined by the applicable third-party provider.

  1. Fees

Zek may charge a fee on certain transactions, including a spread on currency conversions. Applicable fees will be displayed to you in the transaction confirmation before you authorize any transaction. Additional fees may be charged by third-party providers (such as network fees or conversion fees) and will be disclosed where applicable.

  1. Transaction Confirmation

Before any transaction is executed, Zek will present you with a confirmation message displaying the transaction details, including amount, recipient, and applicable fees. Transactions are only executed after you explicitly confirm. Once confirmed and submitted to the blockchain, transactions are irreversible.

  1. Prohibited Jurisdictions and Uses

Zek does not provide services to users residing in the following jurisdictions: Afghanistan, Belarus, Democratic Republic of the Congo, Cuba, Gaza Strip, Iran, Iraq, Lebanon, Libya, Myanmar, North Korea, Russia, Somalia, South Sudan, Sudan, Syria, Ukrainian occupied territories (Crimea, Sevastopol, Donetsk, Kherson, Luhansk, Zaporizhzhia), West Bank, Venezuela, and Yemen.

You agree not to use Zek for:

  • Money laundering, terrorist financing, or any other illegal activity

  • Structuring transactions to evade monitoring or reporting thresholds

  • Circumventing sanctions or trading with sanctioned persons or entities

  • Any purpose that violates applicable law in your jurisdiction

  1. Account Restrictions and Termination

Zek reserves the right to restrict, suspend, or terminate your access to the platform at any time if:

• We detect suspicious or anomalous activity on your account

• You violate these Terms or any applicable law

• A third-party provider restricts your access to their services

• We are required to do so by law or regulatory request

If your access is restricted or terminated, you retain control of your self-custodial wallet and can interact with the blockchain using other providers. Zek's restrictions apply only to access to the Zek platform.

  1. Limitation of Liability

Zek is provided "as is" without warranties of any kind, express or implied.

To the maximum extent permitted by applicable law, Zek is not liable for:

  • Loss of funds due to user error, lost wallet access, or incorrect transaction details

  • Delays, failures, or errors caused by third-party providers or blockchain networks

  • Loss of value due to stablecoin or cryptocurrency price fluctuations

  • Unauthorized access to your wallet resulting from compromised devices or credentials

  • Any indirect, incidental, or consequential damages arising from your use of the platform

  1. Intellectual Property

All content, branding, software, and technology associated with Zek are the property of ZEK LTDA. You may not copy, modify, distribute, or create derivative works based on any part of the Zek platform without prior written consent.

  1. Modifications

We may update these Terms at any time. Material changes will be communicated through the platform. Continued use of Zek after changes are communicated constitutes acceptance of the updated Terms.

  1. Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil. Any disputes arising from these Terms shall be resolved in the courts of São Paulo, SP, Brazil.
